Terms of Service

1. Acceptance of Terms

By accessing or using the NexGuard VPN service, website at nexguardvpn.com, desktop application, or mobile application (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). These Terms constitute a legally binding agreement between you and NexGuard Technologies (“NexGuard,” “we,” “us,” or “our”).

If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Service Description

NexGuard VPN provides a virtual private network (VPN) service that encrypts your internet connection and routes it through secure servers worldwide. The Service includes:

  • VPN connectivity through multiple protocols including OpenVPN (UDP/TCP), WireGuard, IKEv2, and L2TP/IPsec
  • Server network spanning 41 countries with 77 servers
  • Client applications for web, desktop (Windows, macOS, Linux), and mobile (iOS, Android) platforms
  • Configuration files for OpenVPN and WireGuard for use with third-party clients
  • Multi-device support with up to 10 simultaneous device connections per account
  • Unlimited bandwidth on paid plans with no data caps or throttling

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.

3. Account Registration and Security

3.1 Registration

To use the Service, you must create an account by providing a valid email address and password, or by authenticating through a supported social login provider (Google or Apple). You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Not create multiple accounts for the purpose of circumventing usage limits or abusing the Service

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Use a strong, unique password for your NexGuard VPN account
  • Not share your account credentials with any other person
  • Notify us immediately at support@nexguardvpn.com if you suspect unauthorized access

3.3 Device Limits

Each account is limited to a maximum of 10 active device sessions. If you exceed this limit, you may need to remove existing sessions before connecting from a new device.

4. Subscription Plans and Billing

4.1 Plans

NexGuard VPN offers the following subscription plans:

  • Free Plan — limited access to select servers with restricted features
  • Pro Plan — full access to all servers, unlimited bandwidth, and all protocols:
    • Monthly: $9.99/month
    • Annual: $3.99/month (billed $47.88/year)
    • 2-Year: $2.49/month (billed $59.76 every 2 years)
  • Enterprise Plan — all Pro features plus priority support, dedicated account management, and team administration:
    • Monthly: $49.99/month
    • Annual: $19.99/month (billed $239.88/year)
    • 2-Year: $12.49/month (billed $299.76 every 2 years)

Plan pricing, features, and availability are subject to change. Any price changes will be communicated to existing subscribers before taking effect.

4.2 Billing

All payments are processed securely through Stripe. By subscribing to a paid plan, you agree to:

  • Provide a valid payment method
  • Authorize recurring charges at the applicable subscription rate
  • Accept Stripe's Terms of Service for payment processing

Subscriptions are billed in advance on a recurring basis. Your subscription will automatically renew unless you cancel before the end of the current billing period.

4.3 Cancellation and Refunds

You may cancel your subscription at any time through the Stripe customer portal or by contacting us. Upon cancellation:

  • You will retain access to paid features until the end of your current billing period
  • Your account will revert to the Free plan at the end of the billing period
  • No partial refunds will be issued for unused portions of a billing period

We may offer refunds at our sole discretion on a case-by-case basis. If you believe you are entitled to a refund, please contact us at support@nexguardvpn.com.

5. Acceptable Use Policy

You agree to use the Service lawfully and responsibly. The following activities are strictly prohibited:

5.1 Illegal Activities

  • Using the Service to engage in any activity that violates applicable laws
  • Transmitting content that is illegal, including but not limited to child sexual abuse material
  • Using the Service to facilitate fraud, identity theft, or money laundering
  • Infringing upon the intellectual property rights of others

5.2 Network Abuse

  • Sending unsolicited bulk email (spam) or conducting phishing attacks
  • Launching denial-of-service (DoS/DDoS) attacks or port scanning
  • Attempting to gain unauthorized access to any network, server, or system
  • Distributing malware, viruses, or other harmful software
  • Interfering with the operation of the Service or the experience of other users

5.3 Service Abuse

  • Reselling or redistributing the Service without written authorization
  • Reverse engineering, decompiling, or disassembling the Service or its applications
  • Using automated tools to create accounts or circumvent rate limits
  • Sharing your account credentials with unauthorized third parties
  • Circumventing the device connection limit through technical means

We reserve the right to investigate violations and may suspend or terminate accounts that violate this Acceptable Use Policy without prior notice or refund.

6. Intellectual Property

All content, features, and functionality of the Service — including but not limited to software, code, designs, text, graphics, logos, icons, and the NexGuard VPN brand — are the exclusive property of NexGuard Technologies and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service and its applications for personal, non-commercial purposes in accordance with these Terms.

7. Third-Party Services

The Service integrates with and relies upon third-party services, including:

  • Stripe for payment processing
  • Google and Apple for social authentication
  • VPN infrastructure providers for server network operation

Your use of these third-party services is subject to their respective terms and policies.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF THE SERVICE

While we strive to provide a reliable and secure VPN service, we do not guarantee that the Service will meet your specific requirements or that it will protect against all security threats. No VPN service can guarantee absolute anonymity or security.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXGUARD TECHNOLOGIES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless NexGuard Technologies and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses arising from or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Any content you transmit through the Service

11. Termination

11.1 Termination by You

You may terminate your account at any time by canceling your subscription and requesting account deletion through the Service or by contacting us at support@nexguardvpn.com.

11.2 Termination by Us

We may suspend or terminate your account immediately and without prior notice if:

  • You violate these Terms or the Acceptable Use Policy
  • We are required to do so by law or regulatory authority
  • We reasonably believe your account has been compromised
  • You fail to pay applicable subscription fees

11.3 Effect of Termination

Upon termination:

  • Your right to access and use the Service will cease immediately
  • We will delete your account data in accordance with our Privacy Policy
  • Sections that by their nature should survive termination will remain in effect

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NexGuard Technologies is incorporated, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If a dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration or the courts of competent jurisdiction.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the “Effective Date” at the top of this page
  • Notify you via email at least 30 days before the changes take effect
  • Post a prominent notice on our website

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
